How paid PRIME plans are billed, renewed, and cancelled.
Effective: October 24, 2026
These Subscription & Billing Terms ("Billing Terms") govern all paid subscriptions to the PRIME platform ("PRIME," "we," "us," or "our"), including Fleet OS plans, Storefront Pro, bundled plans, add-on modules, and any other recurring paid tier (each, a "Subscription"). They supplement and form part of our Terms & Conditions and are subject to our Cancellation & Refund Policy. If these Billing Terms conflict with the Terms & Conditions on a billing matter, these Billing Terms control.
By starting a Subscription, you agree to these Billing Terms and authorize us and our payment processor (Stripe) to charge your selected payment method on a recurring basis as described below.
PRIME is a software platform (SaaS), not a transportation provider. PRIME is not a carrier, broker, freight forwarder, courier, or delivery agent, and your Subscription is a license to use software only. Fleets and fleet operators that use the Platform are the carriers of record; every transport contract is between the customer and the fleet.
Your Subscription fee is the entire fee for the software. PRIME does not arrange transport, does not hold fares, and takes no per-booking commission. Any amounts paid for transportation services are paid to the fleet providing those services under your agreement with them — not to PRIME — except where PRIME processes a platform fee expressly disclosed at checkout (for example, a flat fee on a fleet-sold membership plan).
You may cancel at any time — from your dashboard billing settings, or by emailing billing@primetransit.com from the email address on the account. Cancellation takes effect at the end of the billing period you have already paid for: your plan remains active until then, and no further renewal is charged.
No partial-period refunds. All subscription charges are final and non-refundable — we do not issue prorated refunds for unused time, unused features, or partial billing periods, except where required by law or expressly stated in our Cancellation & Refund Policy.
Cancelling a Subscription does not delete your account or your data. Data retention after cancellation follows our Privacy Policy, and you may request account deletion at any time via our account deletion page.
We may change Subscription pricing from time to time. For existing subscribers, a price increase takes effect no earlier than thirty (30) days after we notify you at the email address on your account, and applies from your next renewal after that notice period. If you do not agree to a price change, you may cancel before your next renewal; continuing to use the Platform after the new price takes effect constitutes acceptance.
If a renewal charge fails, we will retry the charge and notify you to update your payment method. If payment is not resolved within seven (7) days, we may downgrade the account to the free tier or suspend paid features until the balance is settled. Accounts suspended for non-payment more than thirty (30) days may have the Subscription cancelled. We are not responsible for service interruptions caused by payment failure.
Subscription fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable sales, use, VAT, GST, and similar taxes. Where we are required to collect tax, it will be itemized at checkout and on your invoice. International (non-US) sales are business-to-business only and may require a valid tax ID so that reverse-charge treatment applies.
We work to keep the Platform available and reliable, but we do not guarantee uninterrupted or error-free service and do not currently offer a formal service-level agreement (SLA) or uptime credits. Platform status is published at primetransit.com/api-status.
Referral credits and Prime Points are non-cashable account benefits that may be applied to Subscription invoices and other platform benefits. They have no cash value, are non-transferable, are never paid out as cash, and are forfeited if the account is closed. Details are in the Terms & Conditions.
We may update these Billing Terms. The current version is always posted at primetransit.com/subscription-terms with its effective date. Material changes are announced by email or in-product notice before they take effect. Continuing a Subscription after the effective date means acceptance of the updated terms.
